                             RESOLUTION NO. 21746
              
              
               A RESOLUTION CONFIRMING AND APPROVING THE
               APPOINTMENT OF DR. LINDA PICKTHORNE FLETCHER AS A
               MEMBER OF THE ELECTRIC POWER BOARD OF CHATTANOOGA
               AND JAMES "JIMMIE" WILLIAMS AS CHAIRMAN OF THE
               ELECTRIC POWER BOARD OF CHATTANOOGA

          	 WHEREAS, the Electric Power Board of Chattanooga was
        created by the General Assembly of the State of Tennessee, the
        Private Acts of 1935, Chapter 455, as amended ("the Enabling
        Legislation"), the provisions of which are incorporated within
        the Charter of the City of Chattanooga, Tennessee; and
        	 WHEREAS, the Enabling Legislation provides that
        whenever a term of a member of the Electric Power Board of
        Chattanooga expires or otherwise becomes vacant, the remaining
        members of the Electric Power Board appoint his or her
        successor, which appointment is to be submitted for
        confirmation by the Mayor and Council of the City of
        Chattanooga, Tennessee, within ten (10) days; and
        	 WHEREAS, the term of incumbent Board member James
        "Jimmie" Williams originally was to expire April 15, 2000, but
        will now terminate upon his assuming the Office of Chairman of
        the Electric Power of Chattanooga on April 15, 1998, or as soon
        thereafter as he has been confirmed and elected by the Mayor
        and Council of the City of Chattanooga and has taken the oath
        of Office; and

        	 WHEREAS, on April 6, 1998, the remaining members of
        the Electric Power Board have by resolution, a copy of which is
        attached hereto as Exhibit A, appointed Dr. Linda Pickthorne
        Fletcher for the remainder of the five-year term ending April
        15, 2000; and
        	 WHEREAS, on April 6, 1998, the remaining members of
        the Electric Power Board have by resolution, a copy of which is
        attached hereto as Exhibit B, elected James "Jimmie" Williams
        as Chairman of the Electric Power Board for a term commencing
        April 15, 1998 and ending April 15, 2003; and
        	 WHEREAS, the Mayor of the City of Chattanooga has
        approved and confirmed the appointments of Dr. Linda Pickthorne
        Fletcher as member, and James "Jimmie" Williams as Chairman, as
        shown by Exhibit C attached hereto;
        	 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
        THE CITY OF CHATTANOOGA, TENNESSEE that the appointments of Dr.
        Linda Pickthorne Fletcher for a term commencing April 15, 1998,
        and continuing until April 15, 2000, and James "Jimmie"
        Williams as Chairman for a term commencing April 15, 1998 and
        ending April 15, 2003, or thereafter until their successors
        have been appointed and qualified, be, and the same are hereby,
        confirmed.
